These terms will form the agreement between you and Croleo Ltd. ("Croleo", "we", "us") when you open an account or use our services. This is a working draft that sets out the intended structure; the final wording will be agreed with counsel before any account is opened.

• You must be at least 18 and have the legal capacity to enter into these terms where you live.
• You must complete identity verification and keep your details up to date.
• You may hold only one personal account, and you must act for yourself, not for someone else.
• We do not serve residents of countries under comprehensive sanctions (Cuba, Iran, North Korea, and Syria) or of the Crimea, Donetsk and Luhansk regions of Ukraine. Sign-up from those places is blocked.
• Some services may not be available where you live because of local rules. You must not use a service that is not permitted in your country.

Croleo provides spot trading of listed crypto assets against USDT and USDC, together with deposits and withdrawals of crypto. We do not offer leverage, margin, derivatives, lending, earn products or staking.

We do not give investment, legal or tax advice. Any information we publish is general and is not a recommendation.

• You sign in with a one-time code by email or SMS, Google, Apple or a passkey. We do not use passwords. Withdrawals, withdrawal addresses and API keys are approved with a passkey stored on your own device. Adding or removing a way to sign in is approved with your passkey or a one-time code sent to your own email or mobile number, and we email you about every such change.
• Keep your devices locked and up to date, and tell us at once if you think someone else has access.
• API keys you create can read data and place or cancel orders. They can never withdraw funds.

An order is binding once it is matched. Fees are charged at the rates on our fee page at the time of the trade and are shown before you confirm.

Withdrawals pass security and compliance checks, including a step-up passkey confirmation, a cooling period for new addresses, email confirmation and manual review of large amounts. We may delay or refuse a transfer where the law requires it or where we suspect fraud.

Customer crypto assets are held by a regulated third-party custodian, separate from our own assets, and are not lent, pledged or used by us.

• Manipulate markets, including wash trading, spoofing and coordinated pumps.
• Use the service for money laundering, terrorist financing, fraud or to evade sanctions.
• Access the service from a country we do not serve, or hide your location to do so.
• Interfere with the service or other users, or test our security outside the published bug bounty rules.

You can close your account at any time after withdrawing your balance. We may restrict or close an account where the law requires it, where these terms are broken, or where we can no longer serve your country. We will give notice where the law allows.
